Abstract
AHP, Warner-Lambert committed to merger
American Home Products (AHP) and Warner-Lambert remain committed to their planned merger despite a competing bid from Pfizer to acquire Warner-Lambert (C&EN, Nov. 8, page 6). The companies have begun trying to convince analysts and stockholders of the merits of their various proposals. "It's clear that our friendly merger with Warner-Lambert is strategically and financially compelling," AHP Chairman, President, and CEO John R. Stafford told analysts last week. Warner-Lambert's top executive Lodewijk J. R de Vink also sent a letter to Pfizer's board stating he is "disappointed" that the companies "are now in a dispute of major significance," referring to Pfizer's hostile bid and lawsuit to eliminate antitakeover provisions in the Warner- Lambert and AHP merger deal. Meanwhile, Pfizer Chairman and CEO William Steere told shareholders that a combination with Warner-Lambert represents a "unique opportunity to create the fastest growing pharmaceutical company in the world."
